These Terms & Conditions (the Terms) govern your access to and use of the Nodana website, dashboard, APIs, command-line tools, hosted nodes, and related services (together, the Service).
By creating an account, buying credit, or using the Service, you agree to these Terms. If you use the Service on behalf of a company or another organisation, you confirm that you have authority to bind it to these Terms. If you do not agree, do not use the Service.

2. Eligibility
You must be at least 18 years old and legally able to enter into a contract to use the Service. You must not use the Service if doing so would breach a law or regulation that applies to you.
3. Accounts and security
You must provide accurate information and keep it up to date. You are responsible for activity carried out through your account, API keys, node credentials, and other access tokens.
You must:
- keep your sign-in links, passwords, API keys, and node credentials confidential;
- use reasonable security measures for systems connected to the Service;
- tell us promptly if you suspect unauthorised access or a security incident; and
- ensure that people you permit to use your account follow these Terms.
We may treat actions authenticated through your account or credentials as authorised by you. We will never ask you to publish or disclose a private key, seed phrase, or password in our documentation or support channels.
4. The Service
Nodana provides infrastructure and tools for deploying and managing hosted software, including Phoenixd nodes. Features may include a dashboard, APIs, command-line tools, logs, analytics, backups, monitoring, and notifications.
We may improve, change, suspend, or discontinue parts of the Service. Where a change materially reduces paid functionality, we will try to give reasonable notice when practical.
The Service may include beta, preview, or experimental features. We may change or withdraw those features at any time, and they may be less reliable than generally available features.
5. Credit, pricing, and payment
Current pricing is shown on our website, in the dashboard, or in the relevant order flow. Unless stated otherwise:
- node usage costs $12 per node per month and is calculated on a per-minute basis;
- charges continue while a node exists, whether it is running or stopped;
- deleting a node stops future usage charges for that node;
- credit is denominated in US dollars, even when payment is made in sats;
- Lightning invoices are converted at the exchange rate shown or applied when the invoice is created; and
- promotional or bonus credit may have additional conditions shown when it is offered.
You are responsible for checking the amount, fees, exchange rate, destination, and invoice before making a Lightning payment. Bitcoin and Lightning payments are normally irreversible.
Credit is used only to pay for the Service. It is not a bank deposit, stored-value account, investment, or cryptocurrency balance, and it cannot be transferred between users or redeemed for cash unless required by law.
Payments for credit and charges for using the Service are non-refundable, except where required by law. We do not offer an additional contractual cooling-off period. You may stop using the Service at any time by deleting your nodes; charges stop when each node is deleted, but cancellation does not entitle you to a refund of unused credit. Nothing in these Terms limits any cancellation or refund rights that apply by law.
Purchased credit does not expire. Your balance will continue to decrease as usage charges are incurred, including while a node is stopped but has not been deleted.
We do not currently add VAT, sales tax, or similar taxes to our stated charges. If we become required to charge such taxes, we will disclose them before you make a future purchase.
The Service is prepaid, so there are no late-payment charges. Failed or unconfirmed payments do not add credit to your account. Check that an invoice is still valid before paying it. If a completed payment has not been credited, or you believe a charge is incorrect, please use our contact form and provide the relevant invoice ID or payment hash and details of the issue so we can investigate and correct any billing error.
If your credit runs out, we may stop or suspend affected nodes. If you do not add credit, we may delete them and their associated data after [retention period and notice process]. You are responsible for exporting any data you need before suspension, deletion, or account closure.
6. Acceptable use
You must use the Service lawfully and responsibly. You must not use it to:
- break any law, regulation, court order, sanctions rule, or third-party right;
- commit or facilitate fraud, theft, money laundering, market manipulation, or other financial crime;
- host, distribute, or transmit malware or content that is unlawful, infringing, deceptive, abusive, or harmful;
- probe, scan, attack, disrupt, overload, or bypass the security of the Service or another system;
- gain unauthorised access to accounts, nodes, data, or networks;
- conceal abusive activity or misrepresent your identity or affiliation;
- interfere with other customers or the operation of the Service; or
- resell or provide access to the Service unless we have agreed to this in writing.
You are responsible for ensuring that your applications, node activity, transactions, webhooks, and use of third-party services comply with applicable law. We may investigate suspected misuse and may restrict or suspend access when reasonably necessary to protect the Service, our users, or others.
7. Your data and content
You keep ownership of data, configurations, software, and content that you submit to or generate through the Service (Your Content). You give us a limited right to host, copy, transmit, process, and back up Your Content only as needed to provide, secure, support, and improve the Service, comply with law, and enforce these Terms.
You confirm that you have all rights and permissions needed for us to process Your Content. You are responsible for your own backups and for deciding whether the Service is suitable for the sensitivity and importance of your data.
Our handling of personal data is described in our Privacy Policy. If you use the Service to process personal data for other people, you are responsible for your own privacy notices and legal obligations.
8. Third-party services and open-source software
The Service may connect to or depend on third-party networks, identity providers, infrastructure providers, wallets, software, APIs, and websites. Their own terms and privacy policies may apply. We do not control third-party services and are not responsible for outages, changes, losses, or other issues caused by them.
Open-source components remain subject to their applicable licences. References to third-party products do not imply endorsement or partnership.
9. Intellectual property
We and our licensors own the Service, website, documentation, branding, and related intellectual property, excluding Your Content and third-party or open-source materials.
Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose. You must not copy, sell, sublicense, reverse engineer, or create derivative works from the Service except where applicable law or an open-source licence permits it.
If you send us feedback, you allow us to use it without restriction or payment to you.
10. Availability, backups, and security
We aim to operate a reliable and secure Service, but no online service is uninterrupted or error-free. Maintenance, software defects, internet failures, Lightning network conditions, third-party outages, attacks, or events outside our reasonable control may affect availability.
Unless a separate written service-level agreement says otherwise, we do not guarantee continuous availability, transaction success, data recovery, or that any backup will restore successfully. You should maintain independent backups and recovery procedures appropriate to your use.
11. Suspension and termination
You may stop using the Service at any time and may request account closure by contacting us over Email. Charges continue for nodes that still exist, so delete your nodes before closing your account.
We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay charges, or use the Service in a way that could harm us, our users, or others. Where appropriate, we will give notice and a reasonable opportunity to fix the issue.
On termination, your right to use the Service ends. Provisions that by their nature should continue—including payment obligations, intellectual property terms, disclaimers, and liability limits—will survive.
12. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we exclude implied warranties, conditions, and representations, including fitness for a particular purpose, satisfactory quality, and non-infringement.
Nodana provides software and infrastructure. We do not provide legal, tax, accounting, investment, or financial advice. You are responsible for assessing the legal, technical, tax, and financial consequences of operating a node or using Bitcoin and the Lightning Network.
Nothing in these Terms affects statutory rights that cannot lawfully be excluded, including rights you may have as a consumer.
13. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
To the fullest extent permitted by law, we will not be liable for indirect or consequential loss, loss of profits, revenue, business, goodwill, anticipated savings, digital assets, or data, or for losses caused by third-party services, network conditions, unauthorised credential use, or your failure to maintain backups.
Subject to the paragraph above, our total liability arising out of or connected with the Service will not exceed the fees you paid us for the Service during the 12 months immediately before the event giving rise to the claim.
14. Changes to these Terms
We may update these Terms to reflect changes to the Service, law, security, or our business. We will post the updated version here and change the “Last updated” date. If a change materially affects your rights, we will give reasonable notice when required. Continuing to use the Service after the change takes effect means you accept the updated Terms.
15. Governing law and disputes
These Terms are governed by the laws of the United Kingdom. The courts of the United Kingdom will have exclusive jurisdiction, except where mandatory consumer law gives you the right to bring a claim elsewhere.

16. General
If a court finds part of these Terms unenforceable, the remaining parts will continue in effect. A delay in enforcing a right is not a waiver of that right. You may not transfer your rights or obligations under these Terms without our written permission. We may transfer ours as part of a merger, reorganisation, sale, or transfer of the Service, subject to applicable law.
These Terms, together with any order form or policies expressly incorporated into them, form the agreement between you and us about the Service.
